SALES TERMS AND CONDITIONS

 

1-Introduction.

These terms and conditions of sale have as subject the purchase of products done on the network through the web site shop.avstore.tv here follow mentioned as “AVstore” owned by Voome Networks Srl  with Legal Address in Milano Viale Certosa 223 and Sales Office in Brugherio Viale Lombardia 51/53.

Sales between Voome Networks Srl and the customers  are exclusively based on the following terms and conditions, different conditions will not  be accepted unless of written agreement. Customer which enter an order on line accepts  all the following terms and conditions .

 

2-Customer.

AVstore sales can be exclusively done to business customer, therefore to Companies which own a registered VAT number. AVstore may, in its sole discretion, disclaim the registration to the sale services on line  to potential customers which will not satisfy the requested requirements  or which will not send the necessary documents stating their situation or the validity of their  VAT number.

 

3-Liability.

AVstore will not be liable under direct or indirect circumstance for any damage or loose arising from the sale of products and services showed on the catalogue published on the web site shop.avstore.tv . AVstore will not be liable for late or missing delivery of the product, or for the missing correspondence of the goods with the specifications  published on the web site , and for any other event  not directly due to AVstore.

 

4-Technical informations.

Technical informations quoted on the web site shop.avstore.tv  are the same  published by Manufacturer Companies of the products present in our catalogue. Therefore AVstore retains the right  to modify/adapt the technical characteristics and the dimensions of the products quoted on the catalogue basing on the informations communicated by manufacturers even without any notice.

 

5. Orders.

Orders will be exclusively accepted in written, by fax or online. Customer which will send the order on line will receive at the end of the procedure a confirmation or an E-mail with the “order number” reference.

Orders which will be sent by mail or fax can be verified  by the customer connecting to the web site shop.avstore.tv in its reserved space under the item “my orders”.

 

6.Price.

All the prices published on the web site under the column “Price list” have to be considered  as suggested end user price list. – without VAT and before the discount. If  the discount is not specified , the “net sale price” to retailer without VAT has to be taken as reference. Prices and discounts  can be modified anytime without notice. Products available for "pre-orders" will be indicated by a virtual price of zero euros; AVstore will communicate to the customer the actual price and date of availability before proceeding with the order.

 

7.Product Availability

On the catalogue  published through the web site shop.avstore.tv  customer can see  for each product the quantity available in AVstore and its Partner warehouses.

These quantities do not reflect  the real time availability even if  the update is done as quick as possible.

As the possibility to access and enter an order “online”  modify product availability in real time, AVstore can’t guarantee  as assigned the ordered goods until the order will not be visible  in “my orders” area with the status “Processed”.

 

8.-Shipment and delivery.

The price of our products is always EX-WORKS Brugherio MB.

Customer can decide to send us the references of his forwarder or accept the cost related to the shipment on the invoice.

In any case, goods travel under customer liability; customer must communicate if an insurance on the shipment is required.

If the customer requires an insured shipment to be charged on the invoice, in case of theft or damage AVstore will send a new product, if it were to be unavailable or exhausted , AVstore will suggest a different product but with equivalent characteristics, customer retains the right to refuse the proposal and ask for a credit note.

If the customer instructs its own forwarder for the shipment, AVstore will not be liable for the loose or damage since the time of the delivery of the goods to the carrier  at AVstore warehouse.

When available, a track number of the shipment will be sent to the customer in order to give information in real time about the delivery.  As the owner of these information is the carrier, AVstore will not be responsible for any delay due to major force or due to traffic conditions or more in general due to Authority actions.

If not differently agreed in written by the parties, the delivery will be done by truck during office hours from 9:00AM to half past 12:00 and from 2:00PM to

6: 00PM every day from Monday to Friday excluding bank holidays.

 

International deliveries will be handled  “Ex AVstore warehouse” unless of different agreements between Avstore and the foreign customer.

 

9-Risk and Property.

Rules for a correct receivement of the goods in case of insured shipment done through AVstore forwarder and cost on the invoice.

. Upon delivery customer has to verify packaging conditions and check the quantity and quality correspondence between the goods and the informations quoted on the delivery note (DDT).

. Customer must ALWAYS quote on the DDT the note "RISERVA DI CONTROLLO". If the shipment presents a damage or the number of cartons does not correspond, customer must quote on the DDT (digital or paper)

  "RISERVA DI CONTROLLO SPECIFICA" adding a small description of the problem (i.e. the carton is damaged on the right side... there is a transparent tape on your customized adhesive tape, etc.) without this note we will not be able to refund damages or missing products.

   Discrepancies and damages must be confirmed within 5 (five) calendar days by fax or registered mail to AVstore to the attention of the related Seller. In any case even if the packaging is intact, goods must be verified within 5 (five) days from delivery.

   In case of hidden damages arising from the transport customer has to notify them in written by registered mail to the carrier copy to AVstore. Claims reported over terms, will not be considered.

   Customer has the full responsibility of its declarations.

 

10-Payments.

Unless of different written conditions agreed with AVstore the supplied goods have to be paid by bank transfer in advance.

AVstore retains the right on its sole discretion to stop the shipment of the goods, even after order confirmation, to the customers  who  are over the credit limit , so with unpaid amount or in litigation.

 

 

 

11-Orders cancellation.

Customer can require to delete the order and AVstore reserves the right  to accept or not this request. Order cancellation have to be done in written and can be related only to the available products at AVstore warehouse.

AVstore will not accept order cancellation related to products already invoiced or not available and expressly ordered as per customer request.

 

 

12- Product return.

Goods return to AVstore have to be required through a form to be filled online, motivation of the return and invoice and/or DDT reference will be required  in order to get the “online”  return authorization.  The return of the goods must be done after the authorization and confirmation online of an RMA (Return Material Authorization) and within 10  (ten) working days from the approval of the return request.

The rules applied for the confirmation of the return are the ones established by the product manufacturer. AVstore applies the conditions of the different manufacturers to its customers without any responsibility .

 

 

 

 

 

 

The value of the returned goods may be reduced if one of the following cases will occur:

 

  • The packaging is intact but the product was expressly ordered by AV store  to its supplier.
  • The packaging was declared as not intact.
  • The packaging was declared as intact on the form online while it was open
  • If the goods will arrive to AVstore warehouse after 10 (ten) working days since the release of the RMA.

 

Returned goods must be in perfect conditions, with the original packaging and sent without any transport cost to AVstore warehouse, RMA must be clearly indicated on the documents.

 

13-Claims.

Shipping discrepancies  or incorrect shipment must be highlighted in written and/or online as for the terms quoted at point 9.

 

14-Warranty.

The purchase of product from AVstore involves the full acceptance of warranty conditions applied by the manufacturer, which can be independent from AVstore .

The customer  therefore is aware  that the goods purchased will be guaranteed by the manufacturer at its conditions and accepts, without any reserve, all the warranty formalities requested by the manufacturer, even with reference to the subject who supply the warranty also if different from AVstore.

 

15- Personal Data treatment.

As per D.Lgs. 30 giugno 2003 n.196, customer acknowledge that the “personal data” communicated or exchanged even during pre-contractual information will be treated as per D. Lgs 196/2003 for the effects and the purpose of art. 24 paragraph 1, let. B) and following modifications and integration of the same D.Lgs 196/2003. It’s understood the customer fully agrees to the transfer of the personal data as per art. 43 paragraph 1 let. b) of D.Lgs 196/2003 and to their communication and diffusion.

 

16-Disputes.

For any dispute which will arise Court of Monza will be competent.

 

17-Conditions.

The present Terms and Conditions could be modified without any notice and with validity since their publication on AVstore website.
